Prickly Petal Boutique Wholesale Terms & Conditions
Thank you for your interest in carrying Prickly Petal Boutique.
We value thoughtful retail partnerships and want wholesale ordering to be straightforward for everyone involved. These Wholesale Terms apply to approved wholesale accounts and wholesale purchases of Prickly Petal Boutique products.
By placing a wholesale order, the retailer acknowledges and agrees to the terms below.
1. Wholesale Account Approval
Wholesale purchasing is available only to businesses approved by Prickly Petal Boutique.
Retailers may be required to provide a valid resale certificate, sales tax exemption documentation, business information, or other documentation reasonably necessary to establish and maintain a wholesale account.
Wholesale account approval is specific to the business that applied and may not be transferred or shared with another person or business.
Submission of a wholesale application does not guarantee approval.
Prickly Petal Boutique reserves the right to approve, decline, suspend, or close wholesale accounts in accordance with these terms.
2. Approved Sales Channels
Wholesale products may be resold only through the brick and mortar retail locations disclosed to and approved by Prickly Petal Boutique.
Approved channels may include a retailer's physical store and retailer-owned website.
Approval of a wholesale account does not automatically authorize resale through third-party marketplaces or platforms, including Amazon, Walmart Marketplace, eBay, Etsy, TikTok Shop, or similar marketplaces.
Retailers wishing to add a new location or sales channel should contact Prickly Petal Boutique for approval before offering our products through that channel.
Products may not be sold through flea-market, liquidation, auction, closeout, or similar channels.
3. Wholesale Pricing
Wholesale pricing is available exclusively to approved wholesale accounts and may differ by product, quantity, collection, or order volume.
Current wholesale pricing will be displayed through the wholesale ordering system or otherwise provided by Prickly Petal Boutique.
Wholesale pricing may be updated as production costs, materials, product specifications, or other business conditions change. Pricing applicable to an accepted order will not be changed after that order has been confirmed unless the retailer approves the change.
Wholesale pricing is confidential and intended for the approved retailer.
4. Opening Orders & Reorders
Current opening-order minimums, reorder minimums, product minimums, case quantities, or other ordering requirements will be displayed in the wholesale ordering system or communicated before an order is submitted.
Minimums may vary by product or collection.
Prickly Petal Boutique may occasionally offer wholesale promotions, introductory programs, or special ordering opportunities with different requirements.
5. Payment
Unless different payment terms have been approved in writing, wholesale orders must be paid according to the payment requirements displayed at checkout or stated on the applicable invoice.
Orders are not considered accepted for production until required payment has been successfully received or other approved payment arrangements have been confirmed.
Approval for wholesale purchasing does not automatically establish credit or Net payment terms.
Retailers are responsible for applicable taxes, shipping charges, duties, fees, or other charges associated with their orders unless expressly stated otherwise.
6. Production & Lead Times
Prickly Petal Boutique products are designed and produced in-house.
Wholesale lead times may therefore vary based on order size, product availability, production volume, season, and the products ordered.
Estimated lead times provided when ordering are estimates rather than guaranteed delivery dates unless Prickly Petal Boutique expressly agrees otherwise in writing.
If an unexpected production issue is likely to materially delay an order, we will make reasonable efforts to contact the retailer.
We encourage retailers ordering for holidays, events, launches, or other date-sensitive needs to order well in advance.
7. Order Changes & Cancellations
Because wholesale orders may enter production specifically for the retailer, changes or cancellations are not guaranteed after an order has been submitted.
Requests to modify or cancel an order should be made as soon as possible.
Once production has begun, materials have been committed, or an order has otherwise entered fulfillment, Prickly Petal Boutique may be unable to approve changes or cancellations.
Any approved cancellation may be subject to costs already incurred in producing or preparing the order, where permitted by applicable law.
8. Shipping & Delivery
Retailers are responsible for shipping charges unless otherwise stated at the time of ordering.
The retailer is responsible for providing a complete and accurate delivery address.
Retailers should inspect shipments promptly upon delivery.
If merchandise arrives damaged, defective, or materially different from the order, please contact Prickly Petal Boutique within 2 business days of delivery and provide the order number, description of the issue, quantities affected, and clear photographs when applicable.
Please retain the merchandise and original shipping packaging until the claim has been resolved, as they may be needed for carrier or damage documentation.
Verified problems will be addressed as appropriate based on the circumstances, which may include replacement merchandise, account credit, refund, or another mutually appropriate resolution.
9. Returns
Wholesale merchandise is generally final sale.
We do not accept wholesale returns because merchandise did not sell as anticipated, a retailer changed its assortment, or remaining inventory is no longer desired.
This policy does not limit claims involving merchandise that arrived damaged, defective, incorrect, or otherwise not as ordered.
Any return specifically authorized by Prickly Petal Boutique must receive approval before merchandise is sent back.
Unauthorized returns may be refused.
10. Retail Pricing & Promotions
Retailers independently determine the prices at which they resell Prickly Petal Boutique merchandise, subject to applicable law and any separately stated lawful promotional requirements.
Any manufacturer's suggested retail price provided by Prickly Petal Boutique is a recommendation unless expressly stated otherwise in a legally permissible written policy.
Retailers should avoid marketing practices that falsely imply that Prickly Petal Boutique itself is offering a retailer's promotion, markdown, or sale.
11. Product Presentation & Packaging
Prickly Petal Boutique products should be sold in their original branded presentation where applicable.
Retailers may not remove or obscure Prickly Petal branding, represent our products as their own creations, materially modify products for resale, or repackage merchandise in a manner that misrepresents its source without prior written permission.
Retailers may, of course, place Prickly Petal products inside their own shopping bags, gift wrapping, gift baskets, subscription boxes, or similar customer-facing presentation, provided the product itself is not misrepresented or altered and any applicable separate approval requirements are satisfied.
12. Intellectual Property
All Prickly Petal Boutique artwork, illustrations, product designs, photographs, graphics, written copy, branding, logos, product names, collection concepts, and other protected materials remain the property of their respective rights holder.
Purchasing wholesale merchandise does not transfer intellectual-property rights to the retailer.
Products, artwork, photographs, or other materials may not be copied, reproduced, altered, manufactured, digitized, distributed as standalone assets, or used to create derivative products without written permission.
13. Retailer Marketing Resources
Approved retailers may be provided with product photography, descriptions, logos, graphics, merchandising materials, or other approved brand assets through our Retailer Resources.
Those materials may be used to market authentic Prickly Petal Boutique products purchased for resale by that retailer, subject to any instructions accompanying the resources.
Retailers may not substantially alter approved brand assets in a manner that misrepresents Prickly Petal Boutique or suggests an affiliation, sponsorship, or relationship beyond the retailer's actual approved stockist status.
14. Geographic Exclusivity
Approval as a Prickly Petal Boutique stockist does not automatically provide geographic, territorial, online, or product exclusivity.
We may approve additional retailers within the same city, region, market, or online customer base.
Any exclusivity arrangement must be expressly agreed to in a separate written agreement and will not be inferred from prior orders, retailer location, or account history.
15. Flower Collections & Product Availability
Prickly Petal Boutique is a collection-driven brand, and our assortment will evolve.
Individual designs, products, flower collections, colors, formats, packaging, and other product details may be introduced, revised, temporarily unavailable, retired, or replaced over time.
Wholesale account approval does not guarantee continued availability of any particular product or collection.
Limited, seasonal, or special-edition products may have separate ordering requirements or availability.
16. Product Variations
Because Prickly Petal Boutique products are produced in-house and may incorporate printed, cut, laminated, bound, pressed, or otherwise individually produced components, minor variations may occur between production runs.
Small variations that do not materially affect the intended appearance or function of a product are not considered defects.
17. Resale & Diversion
Wholesale pricing is provided for legitimate retail resale by the approved account.
Wholesale products may not be purchased on behalf of an unapproved reseller or transferred in commercial quantities to another business for resale without prior written approval.
Retailers may not knowingly divert Prickly Petal Boutique merchandise into unauthorized distribution channels.
18. Account Suspension or Closure
Prickly Petal Boutique may suspend or close a wholesale account for material or repeated violations of these Wholesale Terms, nonpayment, fraud, unauthorized resale, misuse of intellectual property, misrepresentation of Prickly Petal products or branding, or other conduct that materially harms the wholesale relationship.
When reasonably appropriate, we may contact the retailer regarding a correctable issue before closing an account.
Serious issues involving fraud, nonpayment, counterfeiting, intellectual-property misuse, or other conduct requiring immediate action may result in suspension or closure without a prior correction period.
Closure of a wholesale account does not eliminate payment or other obligations arising from previously accepted orders.
19. Changes to Wholesale Terms
As Prickly Petal Boutique grows, these Wholesale Terms may occasionally be updated.
The version presented or otherwise made available in connection with an order will govern that order unless otherwise agreed in writing.
Material changes affecting future wholesale purchases will be reflected in the then-current Wholesale Terms.

By Placing a Wholesale Order
By submitting a wholesale order to Prickly Petal Boutique, the retailer confirms that it has reviewed and agrees to the Wholesale Terms applicable to that order.
